SOFTWARE LICENSE AGREEMENT
READ THE TERMS OF THIS AGREEMENT ("AGREEMENT") CAREFULLY BEFORE OPENING SOFTWARE MEDIA PACKAGE. BY OPENING SOFTWARE MEDIA PACKAGE, YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU ARE ACCESSING SOFTWARE ELECTRONICALLY, INDICATE YOUR ACCEPTANCE OF THESE TERMS BY SELECTING THE "ACCEPT" (OR EQUIVALENT) BUTTON AT THE END OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS, PROMPTLY RETURN THE UNUSED SOFTWARE TO YOUR PLACE OF PURCHASE FOR A REFUND OR, IF SOFTWARE IS ACCESSED ELECTRONICALLY, SELECT THE "DECLINE" (OR EQUIVALENT) BUTTON AT THE END OF THIS AGREEMENT. IF YOU HAVE SEPARATELY AGREED TO LICENSE TERMS ("MASTER TERMS") FOR YOUR LICENSE TO THIS SOFTWARE, THEN SECTIONS 1-6 OF THIS AGREEMENT ("SUPPLEMENTAL LICENSE TERMS") SHALL SUPPLEMENT AND SUPERSEDE THE MASTER TERMS IN RELATION TO THIS SOFTWARE.
1. Definitions.
(a) "Entitlement" means the collective set of applicable documents authorized by Sun evidencing your obligation to pay associated fees (if any) for the license, associated Services, and the authorized scope of use of Software under this Agreement.
(b) "Licensed Unit" means the unit of measure by which your use of Software and/or Service is licensed, as described in your Entitlement.
(c) "Permitted Use" means the licensed Software use(s) authorized in this Agreement as specified in your Entitlement. The Permitted Use for any bundled Sun software not specified in your Entitlement will be evaluation use as provided in Section 3.
(d) "Service" means the service(s) that Sun or its delegate will provide, if any, as selected in your Entitlement and as further described in the applicable service listings at www.sun.com/service/servicelist.
(e) "Software" means the Sun software described in your Entitlement. Also, certain software may be included for evaluation use under Section 3.
(f) "You" and "Your" means the individual or legal entity specified in the Entitlement, or for evaluation purposes, the entity performing the evaluation.
2. License Grant and Entitlement.
Subject to the terms of your Entitlement, Sun grants you a nonexclusive, nontransferable limited license to use Software for its Permitted Use for the license term. Your Entitlement will specify (a) Software licensed, (b) the Permitted Use, (c) the license term, and (d) the Licensed Units.
Additionally, if your Entitlement includes Services, then it will also specify the (e) Service and (f) service term.
If your rights to Software or Services are limited in duration and the date such rights begin is other than the purchase date, your Entitlement will provide that beginning date(s).
The Entitlement may be delivered to you in various ways depending on the manner in which you obtain Software and Services, for example, the Entitlement may be provided in your receipt, invoice or your contract with Sun or authorized Sun reseller. It may also be in electronic format if you download Software.
3. Permitted Use.
As selected in your Entitlement, one or more of the following Permitted Uses will apply to your use of Software. Unless you have an Entitlement that expressly permits it, you may not use Software for any of the other Permitted Uses. If you don't have an Entitlement, or if your Entitlement doesn't cover additional software delivered to you, then such software is for your Evaluation Use.
(a) Evaluation Use. You may evaluate Software internally for a period of 90 days from your first use.
(b) Research and Instructional Use. You may use Software internally to design, develop and test, and also to provide instruction on such uses.
(c) Individual Use. You may use Software internally for personal, individual use.
(d) Commercial Use. You may use Software internally for your own commercial purposes.
(e) Service Provider Use. You may make Software functionality accessible (but not by providing Software itself or through outsourcing services) to your end users in an extranet deployment, but not to your affiliated companies or to government agencies.
4. Licensed Units.
Your Permitted Use is limited to the number of Licensed Units stated in your Entitlement. If you require additional Licensed Units, you will need additional Entitlement(s).
5. Restrictions.
(a) The copies of Software provided to you under this Agreement is licensed, not sold, to you by Sun. Sun reserves all rights not expressly granted. (b) You may make a single archival copy of Software, but otherwise may not copy, modify, or distribute Software. However if the Sun documentation accompanying Software lists specific portions of Software, such as header files, class libraries, reference source code, and/or redistributable files, that may be handled differently, you may do so only as provided in the Sun documentation. (c) You may not rent, lease, lend or encumber Software. (d) Unless enforcement is prohibited by applicable law, you may not decompile, or reverse engineer Software. (e) The terms and conditions of this Agreement will apply to any Software updates, provided to you at Sun's discretion, that replace and/or supplement the original Software, unless such update contains a separate license. (f) You may not publish or provide the results of any benchmark or
comparison tests run on Software to any third party without the prior written consent of Sun. (g) Software is confidential and copyrighted. (h) Unless otherwise specified, if Software is delivered with embedded or bundled software that enables functionality of Software, you may not use such software on a stand-alone basis or use any portion of such software to interoperate with any program(s) other than Software. (i) Software may contain programs that perform automated collection of system data and/or automated software updating services. System data collected through such programs may be used by Sun, its subcontractors, and its service delivery partners for the purpose of providing you with remote system services and/or improving Sun's software and systems. (j) Software is not designed, licensed or intended for use in the design, construction, operation or maintenance of any nuclear facility and Sun and its licensors disclaim any express or implied warranty of fitness for s
uch uses. (k) No right, title or interest in or to any trademark, service mark, logo or trade name of Sun or its licensors is granted under this Agreement.
6. Java Compatibility and Open Source.
Software may contain Java technology. You may not create additional classes to, or modifications of, the Java technology, except under compatibility requirements available under a separate agreement available at www.java.net.
Sun supports and benefits from the global community of open source developers, and thanks the community for its important contributions and open standards-based technology, which Sun has adopted into many of its products.
Please note that portions of Software may be provided with notices and open source licenses from such communities and third parties that govern the use of those portions, and any licenses granted hereunder do not alter any rights and obligations you may have under such open source licenses, however, the disclaimer of warranty and limitation of liability provisions in this Agreement will apply to all Software in this distribution.
7. Term and Termination.
The license and service term are set forth in your Entitlement(s). Your rights under this Agreement will terminate immediately without notice from Sun if you materially breach it or take any action in derogation of Sun's and/or its licensors' rights to Software. Sun may terminate this Agreement should any Software become, or in Sun's reasonable opinion likely to become, the subject of a claim of intellectual property infringement or trade secret misappropriation. Upon termination, you will cease use of, and destroy, Software and confirm compliance in writing to Sun. Sections 1, 5, 6, 7, and 9-15 will survive termination of the Agreement.
8. Limited Warranty.
Sun warrants to you that for a period of 90 days from the date of purchase, as evidenced by a copy of the receipt, the media on which Software is furnished (if any) will be free of defects in materials and workmanship under normal use. Except for the foregoing, Software is provided "AS IS". Your exclusive remedy and Sun's entire liability under this limited warranty will be at Sun's option to replace Software media or refund the fee paid for Software. Some states do not allow limitations on certain implied warranties, so the above may not apply to you. This limited warranty gives you specific legal rights. You may have others, which vary from state to state.
9. Disclaimer of Warranty.
UNLESS SPECIFIED IN THIS AGREEMENT, ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT ARE DISCLAIMED, EXCEPT TO THE EXTENT THAT THESE DISCLAIMERS ARE HELD TO BE LEGALLY INVALID.
10. Limitation of Liability.
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL SUN OR ITS LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF SUN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event will Sun's liability to you, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by you for Software under this Agreement. The foregoing limitations will apply even if the above stated warranty fails of its essential purpose. Some states do not allow the exclusion of incidental or consequential damages, so some of the terms above may not be applicable to you.
11. Export Regulations.
All Software, documents, technical data, and any other materials delivered under this Agreement are subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree to comply strictly with these laws and regulations and acknowledge that you have the responsibility to obtain any licenses to export, re-export, or import as may be required after delivery to you.
12. U.S. Government Restricted Rights.
If Software is being acquired by or on behalf of the U.S. Government or by a U.S. Government prime contractor or subcontractor (at any tier), then the Government's rights in Software and accompanying documentation will be only as set forth in this Agreement; this is in accordance with 48 CFR 227.7201 through 227.7202-4 (for Department of Defense (DOD) acquisitions) and with 48 CFR 2.101 and 12.212 (for non-DOD acquisitions).
13. Governing Law.
Any action related to this Agreement will be governed by California law and controlling U.S. federal law. No choice of law rules of any jurisdiction will apply.
14. Severability.
If any provision of this Agreement is held to be unenforceable, this Agreement will remain in effect with the provision omitted, unless omission would frustrate the intent of the parties, in which case this Agreement will immediately terminate.
15. Integration.
This Agreement, including any terms contained in your Entitlement, is the entire agreement between you and Sun relating to its subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals, representations and warranties and prevails over any conflicting or additional terms of any quote, order, acknowledgment, or other communication between the parties relating to its subject matter during the term of this Agreement. No modification of this Agreement will be binding, unless in writing and signed by an authorized representative of each party.

SI VOUS ACCÉDEZ AU LOGICIEL PAR VOIE ÉLECTRONIQUE, VOUS CONFIRMEZ VOTRE ACCEPTATION DES DISPOSITIONS DU CONTRAT EN CLIQUANT SUR LE BOUTON « ACCEPTER » (OU ÉQUIVALENT), SE TROUVANT AU BAS DU PRÉSENT CONTRAT. 1. Définitions.
(a) « Justificatif(s) » désigne l'ensemble des documents applicables autorisé par Sun attestant de votre obligation de payer les redevances associées (le cas échéant) à la licence, les Services associés et le périmètre d'utilisation autorisé du Logiciel dans le cadre de ce Contrat.
(b) « Unité sous licence » désigne l'unité de mesure en fonction de laquelle votre utilisation du Logiciel et/ou Service est autorisée par la licence, comme décrit dans vos Justificatifs.
(c) « Utilisation autorisée » désigne la ou les utilisations du logiciel sous licence autorisées dans le cadre de ce Contrat comme spécifié dans vos Justificatifs. L'Utilisation autorisée de tout logiciel Sun fourni en plus, sans mention dans vos Justificatifs, sera limitée à une utilisation d'évaluation telle que prévue à l'Article 3.
(d) « Service » désigne le ou les services que Sun ou son répresentant fournira, le cas échéant, tels que sélectionnés dans vos Justificatifs et décrits plus en détails dans les listes de services applicables sur www.sun.com/service/servicelist.
(e) « Logiciel » désigne le logiciel Sun décrit dans les Justificatifs. De surcroît, certains logiciels peuvent être inclus pour une utilisation d'évaluation telle que prévue à l'Article 3.
(f) « Vous » et « Votre » se réfèrent à l'individu ou à la personne morale spécifié dans les Justificatifs ou, à des fins d'évaluation, à la personne effectuant l'évaluation.
2. Concession de licence et Justificatifs
Sous réserve des dispositions de vos Justificatifs, Sun vous concède une licence non exclusive et non cessible limitée à la seule Utilisation autorisée du logiciel pendant la durée de la licence. Vos Justificatifs spécifieront (a) le Logiciel concédé sous licence, (b) l'Utilisation autorisée, (c) la durée de la licence et (d) les Unités sous licence.
De plus, si vos Justificatifs incluent des services, ils spécifieront aussi (e) le Service et (f) la durée du service.
Si vos droits sur le Logiciel ou les Services sont limités en durée et que la date d'entrée en vigueur de ces droits ne correspond pas à celle d'achat, vos Justificatifs préciseront la ou les dates de début.
Vos Justificatifs vous seront signifiés de diverses manières selon la façon dont vous vous serez procuré le Logiciel et les Services, par exemple, vos Justificatifs peuvent être inclus dans votre reçu, votre facture ou le contrat que vous avez passé avec Sun ou un revendeur agréé Sun. Ils peuvent également adopter un format électronique si vous avez téléchargé le Logiciel.
3. Utilisation autorisée
Comme sélectionné dans vos Justificatifs, une ou plusieurs des Utilisations autorisées suivantes s'appliqueront à votre utilisation du Logiciel. À moins que vos Justificatifs ne l'autorisent de façon explicite, vous ne devez en aucun cas utiliser le Logiciel pour d'autres Utilisations autorisées. Si vous n'avez pas de Justificatifs ou si vos Justificatifs ne couvrent pas les logiciels supplémentaires qui vous ont été fournis, l'utilisation de ces logiciels se limitera alors à une Utilisation pour évaluation.
(a) Utilisation pour évaluation. Vous pouvez évaluer le Logiciel en interne pendant une période de 90 jours à compter de votre première utilisation.
(b) Utilisation pour la recherche et la formation. Vous pouvez utiliser le Logiciel en interne pour concevoir, développer et tester, ainsi que fournir un enseignement théorique sur ces utilisations.
(c) Utilisation individuelle. Vous pouvez utiliser le Logiciel en interne à titre personnel.
(d) Utilisation commerciale. Vous pouvez utiliser le Logiciel en interne pour vos propres besoins commerciaux.
(e) Utilisation au titre de fournisseur de services. Vous pouvez rendre les fonctionnalités du Logiciel accessibles (mais ni fournir le Logiciel lui-même directement niindirectement via un service d'outsourcing) à vos utilisateurs finals dans le cadre d'un déploiement extranet mais pas à vos sociétés affiliées ni à des organismes gouvernementaux.
4. Unités sous licence
Votre Utilisation autorisée est limitée au nombre d'unités sous licence fixé dans vos Justificatifs. Si vous avez besoin d'Unités sous licence supplémentaires, vous aurez besoin de Justificatifs supplémentaires.
5. Restrictions
(a) Les copies du Logiciel qui vous ont été fournies dans le cadre de ce Contrat vous ont été concédées sous licence, et non pas vendues, par Sun. Sun se réserve tous les droits non-expressément concédés. (b) Vous pouvez effectuer une unique copie de sauvegarde du Logiciel, mais ne pouvez pas autrement copier, modifier ni distribuer le Logiciel. Si toutefois la documentation de Sun qui accompagne le Logiciel liste des portions spécifiques du Logiciel, telles que des fichiers d'en-tête, des bibliothèques de classes, du code source de référence et/ou des fichiers redistribuables, qui peuvent être traités différemment, vous pouvez le faire uniquement comme indiqué dans la documentation de Sun. (c) Vous ne pouvez pas louer, donner en crédit-bail, prêter ni utiliser le Logiciel à titre de sûreté. (d) Sous réserve des dispositions de la loi applicable, il est interdit de décompiler le Logiciel ou d'effectuer toute ingénierie inverse. (e) Les termes et conditions de ce Contrat s'appliqueront à toute mise à jour du Logiciel, qui vous sera fournie à la discrétion de Sun et qui remplacera et/ou complètera le Logiciel original, à moins que la dite mise à jour ne contienne une licence séparée. (f) Vous ne pouvez pas, sans l'accord préalable écrit de Sun, publier ni divulguer à un tiers les résultats de tests d'évaluation ou comparatifs réalisés sur le Logiciel. (g) Le Logiciel est confidentiel et protégé par le droit d'auteur (copyright). (h) Sauf spécification autre, si le Logiciel est fourni avec des logiciels imbriqués ou fournis en standard qui activent le fonctionnement du Logiciel, vous ne pouvez pas utiliser ces logiciels de façon autonome ni utiliser une portion quelconque de ces logiciels avec tout programme autre que le Logiciel. (i) Le logiciel peut contenir des programmes qui effectuent un recueil automatique des données du système et/ou des services de mise à jour du logiciel automatisés. Les données du système recueillies au travers de tels programmes peuvent être utilisées par Sun, ses sous-traitants et ou ses partenaires prestataires de services dans l'objectif de vous fournir des services système à distance et/ou d'améliorer les logiciels et les systèmes de Sun. (j) Le Logiciel n'a pas été conçu, concédé sous licence ni prévu pour être utilisé dans la conception, la construction, l'utilisation ou la maintenance d'installations nucléaires et Sun et ses concédants de licence n'accordent aucune garantie explicite ou implicite quant à l'adéquation de leurs produits à ce type d'utilisations. (k) Aucun droit, droit de proprieté ou intérêt sur ou afférent à une marque, marque de service, logo ou dénomination commerciale de Sun ou de ses concédants de licence n'est concédé en vertu du présent Contrat.
6. Compatibilité Java et Open Source
Le Logiciel peut contenir la technologie Java. Vous ne pouvez pas ajouter de classes supplémentaires ni apporter de modifications à la technologie Java, sauf conformément aux conditions prévues par un contrat à part disponible sur www.java.net.
Sun soutient et bénéficie de la communauté globale des développeurs open source, et remercie la communauté pour son importante contribution et sa technologie basée sur des standards ouverts, que Sun a adopté dans nombre de ses produits.
Certaines portions du Logiciel peuvent être fournies avec des avis et des licences open source de ces communautés ou de tiers qui régissent l'utilisation de ces portions, et les licences concédées par les présentes n'altèrent aucun des droits ou obligations que vous pouvez avoir dans le cadre de telles licences open source, cependant les clauses d'exclusion de garantie et de limitation de responsabilité de ce Contrat s'appliqueront à tout le Logiciel de cette distribution.
7. Durée et résiliation
Les durées des licences et des services sont énoncées dans vos Justificatifs. Vos droits dans le cadre du présent Contrat seront immédiatement résiliés sans préavis de la part de Sun si vous ne respectez pas une des ses conditions essentielles ou si vous portez atteinte aux droits de Sun et/ou de ses concédants de licence en ce qui concerne le Logiciel. Sun peut résilier à tout moment ce Contrat si jamais le Logiciel devenait, ou risquait selon l'opinion raisonnable de Sun de devenir, l'objet d'une action en contrefaçon de la propriété intellectuelle ou détournement de secret commercial. À la résiliation, vous cesserez d'utiliser le Logiciel, le détruirez et confirmerez l'avoir fait par écrit à Sun. Les articles 1, 5, 6, 7 et 9 à 15 resteront applicables après la résiliation du Contrat.
8. Garantie limitée
Sun garantit que, pour une période de 90 jours à compter de sa date d'acquisition, à confirmer par une preuve d'achat, le support contenant le Logiciel (le cas échéant) sera exempt de tout vice de fabrication, dans des conditions normales d'utilisation. Sans préjudice de ce qui précède, le Logiciel est fourni « en l'état ». Au terme de la présente garantie, votre seul remède et l'unique responsabilité de Sun consisteront, au choix de Sun, en le remplacement du Logiciel ou le remboursement de la redevance de licence versée pour le Logiciel. Certains états n'autorisent pas les limitations au niveau de certaines garanties implicites, de sorte que les limitations précédentes peuvent ne pas s'appliquer à votre cas. Cette garantie limitée vous confère des droits légaux spécifiques. Vous pouvez en avoir d'autres, qui varient d'un pays ou d'un État à l'autre.
9. Exclusion de toute autre garantie
SAUF DISPOSITION CONTRAIRE DU CONTRAT ET DANS LES LIMITES AUTORISÉES PAR LA LOI, TOUTES LES CONDITIONS, REPRÉSENTATIONS ET GARANTIES, EXPRESSES OU TACITES Y COMPRIS TOUTE GARANTIE IMPLICITE D'APTITUDE À UN USAGE PARTICULIER OU DE NON-VIOLATION DE DROITS DE TIERS SONT EXCLUES.
10. Limitation de responsabilité
SOUS RÉSERVE DE DISPOSITIONS LÉGALES CONTRAIRES, SUN OU SES CONCÉDANTS NE POURRONT PAS ÊTRE TENUS RESPONSABLES DE TOUTE PERTE DE REVENUS, PERTE DE PROFITS OU DE DONNÉES, NI DE TOUT DOMMAGE INDIRECT, QUELLE QUE SOIT LA CAUSE DE CES DOMMAGES, LE FONDEMENT DE LA RESPONSABILITÉ, QUI SERAIENT EN RAPPORT AVEC OU RÉSULTERAIENT DE L'UTILISATION OU DE L'IMPOSSIBILITÉ D'UTILISER LE LOGICIEL, ET CE, MÊME SI SUN AVAIT ÉTÉ PRÉVENU DE L'ÉVENTUALITÉ DE TELS DOMMAGES. En tout état de cause, la responsabilité de Sun à votre égard ne pourra excéder le montant payé ou dû par vous pour l'acquisition du Logiciel en vertu du Contrat. La présente limitation de responsabilité sera applicable en cas de défaillance de la garantie susmentionnée.
11. Réglementation de l'exportation
Le Logiciel, les documents, les données techniques et tout autres matériaux acquis en vertu du présent Contrat sont soumis à la législation des États-Unis relative au contrôle des exportations et peuvent également être régis par les lois relatives à l'importation et à l'exportation d'autres pays. Vous vous engagez à vous conformer strictement à l'ensemble des lois et restrictions en vigueur et reconnaissez qu'il vous appartient d'obtenir toute licence nécessaire à l'exportation, la réexportation ou l'importation de ces éléments, après la livraison qui vous en est faite.
12. Utilisateurs du gouvernement des États-Unis
Si le Logiciel a été acquis par le gouvernement des États-Unis ou pour le compte de celui-ci, ou par un fournisseur ou sous-traitant principal du gouvernement des États-Unis (à n'importe quel niveau), les droits du gouvernement sur le Logiciel et sa documentation seront uniquement tels que stipulés dans le présent Contrat, conformément aux dispositions 48 CFR 227.7201 à 227.7202-4 (acquisitions du Ministère de la Défense (DOD)) et aux dispositions 48 CFR 2.101 et 12.212 (acquisitions non DOD).
13. Législation en vigueur
Le présent Contrat est régi par les lois de l'État de Californie et par la loi fédérale américaine de contrôle. Aucune règle relative au choix de la loi applicable ou de la juridiction compétente n'est applicable.
14. Divisibilité
Si une quelconque disposition du présent Contrat est jugée non valide ou non opposable, le Contrat restera applicable, à l'exception de ladite disposition. Toutefois, si l'exclusion de cette disposition était contraire à l'intention des parties, ce Contrat serait immédiatement résilié de plein droit.
15. Intégralité
Le présent Contrat,y compris toute disposition de vos Justificatifs,constitue l'intégralité de l'accord entre vous-même et Sun relatif à l'objet du Contrat. Il annule et remplace toutes les communications écrites ou orales, propositions, déclarations et garanties, présentes ou passées, et il prévaut sur les termes contradictoires ou supplémentaires de tout autre devis, commande, confirmation ou communication entre les parties concernant l'objet du Contrat, et ce, pendant toute la durée du Contrat. Toute modification de ce Contrat sera nulle et non avenue si elle n'a pas été acceptée par écrit et signée par un représentant autorisé de chaque partie.

1. Definiciones.
(a) "Derechos de Uso" se refiere al conjunto de documentos aplicables autorizados por Sun como prueba de su obligación de abonar las cuotas asociadas (si existen) a la licencia, los Servicios asociados y el ámbito de uso del Software autorizado según los términos del presente Contrato.
(b) "Unidad con Licencia" se refiere a la unidad de medida por la cual se otorga licencia para utilizar el Software y/o el Servicio según lo descrito en los Derechos de Uso.
(c) "Uso Permitido" hace referencia al uso (o usos) del Software con licencia autorizado en este Contrato según lo especificado en los Derechos de Uso. El Uso Permitido de cualquier paquete de software complementario de Sun que no se haya especificado en los Derechos de Uso será la utilización con fines de evaluación tal y como se establece en la Sección 3.
(d) "Servicio" hace referencia a los servicios (si existen) que Suno quien actúe por su cuenta suministrarán según lo establecido en los Derechos de Uso y según se explica en las descripciones de servicios aplicables que se encuentran en www.sun.com/service/servicelist.
(e) "Software" se refiere al software de Sun descrito en los Derechos de Uso. También puede referirse a ciertos paquetes de software que pueden haberse incluido con fines de evaluación según lo estipulado en la Sección 3.
(f) "Usted" y "Su" hacen referencia a la persona física o jurídica que se haya especificado en los Derechos de Uso o, en caso de evaluación del software, la entidad que realice la evaluación.
2. Otorgamiento de Licencia y Derechos de Uso.
Sun le otorga una licencia limitada, no exclusiva e intransferible que está sujeta a los términos de los Derechos de Uso y le autoriza a usar el Software para el Uso Permitido durante el periodo de validez de la licencia. Sus Derechos de Uso especificarán el (a) Software con Licencia, (b) el Uso Permitido, (c) el periodo de validez de la licencia y (d) las Unidades con Licencia.
Asimismo, en caso de que sus Derechos de Uso incluyan Servicios, también deberá especificar el (e) Servicio y el (f) periodo de prestación del servicio.
Si sus derechos con respecto al Software o los Servicios están limitados en duración y la fecha de comienzo de tales derechos difiere de la fecha de adquisición, sus Derechos de Uso deberán incluir tal(es) fecha(s).
Los Derechos de Uso se le podrán entregar por diferentes medios en función de la forma en que haya obtenido el Software y los Servicios. Por ejemplo, pueden suministrarse en el recibo de compra, la factura o el contrato suscrito con Sun o con el distribuidor autorizado de Sun. También se le podrán entregar en formato electrónico si ha descargado el Software.
3. Uso Permitido.
Uno o varios de los siguientes Usos Permitidos se aplicarán a su Software, según se haya establecido en los Derechos de Uso. A menos que sus Derechos de Uso lo permitan de forma explícita, usted no podrá utilizar el Software para ningún otro Uso Permitido. Si no posee Derechos de Uso o sus Derechos de Uso no cubren los paquetes de software adicionales que se le hayan suministrado, sólo podrá utilizar tales paquetes de software con Fines de Evaluación.
(a) Fines de Evaluación. Puede evaluar el Software internamente durante un periodo de 90 días a partir de la fecha de inicio del uso.
(b) Uso para Investigación e Instrucción. Puede utilizar el Software internamente con fines de diseño, desarrollo y realización de pruebas, así como para fines de instrucción con respecto a tales usos.
(c) Uso Individual. Puede utilizar el Software internamente para uso personal e individual.
(d) Uso Comercial. Puede usar el Software internamente para sus propios fines comerciales.
(e) Uso para el Suministro de Servicios. Puede poner la funcionalidaddel Software a disposición de sus usuarios finales a través de una extranet, pero no está autorizado a suministrar el propio Software, directamente ni por medio de servicios de outsourcing, ni tampoco estará autorizado a poner la funcionalidad del Software a disposición de compañías filiales o instituciones gubernamentales.
4. Unidades con Licencia.
Su Uso Permitido se limita al número de Unidades con Licencia señaladas en sus Derechos de Uso. Si requiere Unidades con Licencia adicionales, necesitará obtener Derechos de Uso adicionales.
5. Limitaciones.
(a) Las copias del Software suministradas con este Contrato han sido otorgadas por Sun mediante una licencia y no mediante una operación de compraventa. Sun se reserva todos los derechos que no haya otorgado de forma expresa. (b) No puede copiar, modificar ni distribuir el Software bajo ningún concepto, salvo el de la copia realizada con fines de almacenamiento. No obstante, si la documentación de Sun entregada con el Software especifica porciones del Software tales como archivos de cabecera, bibliotecas de clases, código fuente de referencia y/o archivos redistribuibles que pueden recibir un tratamiento diferente, podrá hacerlo únicamente según lo estipulado en la documentación de Sun. (c) No está autorizado a arrendar, prestar ni gravar el Software. (d) A menos que la Ley disponga otra cosa, no podrá descompilar ni realizar operaciones de ingeniería inversa en el Software. (e) Los Términos y Condiciones del presente Contrato se aplicarán a cualquier actualización del Software que, por decisión de Sun, se le entregue en sustitución y/o como complemento del Software, a menos que dicha actualización contenga una licencia diferente. (f) No está autorizado a publicar ni suministrar a terceros los resultados de ninguna prueba de laboratorio o comparativa realizada con el Software sin el consentimiento previo y por escrito de Sun. (g) El Software es confidencial y está protegido derechos de autor. (h) A menos que se especifique lo contrario, si el Software se entrega con otros paquetesde software integrados o adicionales que habilitan la funcionalidad del Software, no podrá utilizar tales paquetes de software de forma autónoma, ni utilizar partes de esos paquetes para interoperar con ningún programa (o programas) que no sea el propio Software. (i) El Software puede contener programas que recopilan automáticamente datosdel sistema y/o realizan servicios de actualización automática de software. Sun, sus empresas subcontratadas y las personas que prestan servicios de entrega podrán utilizar los datos del sistema recopilados a fin de proporcionarle servicios remotos y/o mejorar el software y los sistemas de Sun. (j) El Software no se ha diseñado ni dispone de licencia para ser utilizado en el diseño, la construcción, el manejo o el mantenimiento de instalaciones nucleares, y Sun y sus licenciantes no otorgan ninguna garantía expresa o implícita de idoneidad para tales usos. (k) Este Contrato no otorga ningún derecho ni título de propiedad sobre las marcas comerciales, las marcas de servicios, los logotipos o los nombres comerciales de Sun o de sus licenciantes.
6. Compatibilidad con Java y Código Abierto.
El Software puede contener tecnología Java. No está autorizado a crear clases adicionales ni modificaciones de la tecnología Java, salvo que los requisitos de compatibilidad dispongan otra cosa en un contrato por separado disponible en www.java.net.
Sun apoya y se beneficia de las aportaciones de la comunidad de desarrolladores de aplicaciones de código abierto y agradece su importante contribución y su tecnología basada en estándares abiertos, que Sun ha adoptado en muchos de sus productos.
Tenga presente que algunas partes del Software pueden suministrarse con avisos y licencias de código abierto procedentes de estas comunidades y de entidades que regulan el uso de dichas partes, y que cualquier licencia otorgada con arreglo al presente documento no altera ninguno de los derechos y obligaciones que haya contraído con las licencias de código abierto, si bien las disposiciones sobre exclusión de garantías y limitación de responsabilidades contenidas en el presente Contrato serán aplicables a todo el Software de esta distribución.
7. Duración y Terminación.
La duración de la licencia y los servicios se establecen en los Derechos de Uso. Los derechos expresados en el presente Contrato quedarán sin efecto de forma inmediata y sin previo aviso por parte de Sun en caso de que usted incumpla de forma importante alguno de sus términos o realice cualesquiera acciones que contravengan los derechos de Sun y/o sus licenciantes sobre el Software. Sun podrá dar por terminado el Contrato en caso de que cualquier Software se sujete, o a juicio de Sun, sea susceptible de sujetarse a una demanda por violación de los derechos de propiedad intelectual o por apropiación indebida de secretos comerciales. A la terminación del Contrato, usted deberá dejar de utilizar el Software, destruirá todas sus copias y proporcionará a Sun una declaración escrita donde certifique que ha cumplido estas obligaciones. Las Secciones 1, 5, 6, 7 y 9-15 se mantendrán en vigor después de la terminación del Contrato.
8. Garantía limitada.
Sun garantiza que los medios en los que se proporciona el Software (si los hubiera) se encontrarán libres de defectos en los materiales o de fabricación, siempre y cuando se den circunstancias normales de uso, durante un periodo de 90 días a partir de la fecha de adquisición, que se demostrará con la presentación de una copia del recibo de compra. Excepto en los casos especificados anteriormente, el Software se suministra "TAL CUAL". El único recurso disponible y la responsabilidad total de Sun de conformidad con la presente garantía limitada radicarán en el derecho que Sun se reserva para determinar la sustitución de los medios del Software o la devolución del importe abonado por éste.
9. Exclusión de garantías.
A MENOS QUE EN EL PRESENTE CONTRATO SE ESTIPULE LO CONTRARIO, SE RENUNCIA A TODAS LAS CONDICIONES, MANIFESTACIONES Y GARANTÍAS EXPLÍCITAS O IMPLÍCITAS, INCLUIDA CUALQUIER GARANTÍA IMPLÍCITA DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPÓSITO DETERMINADO O PARA LA CONTRAVENCIÓN DEL PRESENTE CONTRATO, SALVO EN AQUELLOS CASOS EN LOS QUE ESTAS EXCLUSIONES CAREZCAN DE VALIDEZ JURÍDICA.
10. Limitación de responsabilidad.
EN LA MEDIDA EN QUE LO PERMITA LA LEGISLACIÓN APLICABLE, EN NINGÚN CASO SUN O SUS LICENCIANTES ASUMIRÁN RESPONSABILIDAD ALGUNA POR LA PÉRDIDA DE INGRESOS, BENEFICIOS O INFORMACIÓN, ASÍ COMO POR CUALQUIER TIPO DE DAÑOS O PERJUICIOS, INDEPENDIENTEMENTE DEL MOTIVO QUE LOS ORIGINE Y DEL CONTENIDO DE SU RESPONSABILIDAD, O QUE SE DERIVEN O ESTÉN RELACIONADOS CON EL USO INADECUADO DEL SOFTWARE O CON LA IMPOSIBILIDAD DE UTILIZARLO, INCLUSO EN AQUELLOS CASOS EN LOS QUE SE HAYA ADVERTIDO A SUN DE LA POSIBILIDAD DE QUE SE PRODUZCAN TALES DAÑOS. En ningún caso Sun asumirá la responsabilidad, ya sea por motivos contractuales o ilícitos (incluida negligencia) o de cualquier otro tipo, de abonar una cantidad superior al pago realizado por el licenciatario, según lo estipulado en el presente Contrato. Las limitaciones anteriores se aplicarán incluso en aquellos casos en los que la antedicha garantía falte a su propósito fundamental.
11. Normativas relativas a la exportación.
El Software y toda la información técnica suministrada de conformidad con el presente Contrato se rigen por las leyes de control de exportaciones de los Estados Unidos, así como por las normativas relativas a la exportación o importación específicas de cada país en cuestión. El licenciatario se compromete a cumplir de forma estricta dichas leyes y normativas, y reconoce su responsabilidad en la obtención de las licencias correspondientes de exportación, reexportación o importación una vez efectuada la entrega.
12. Derechos restringidos del Gobierno de los Estados Unidos.
Los derechos del Gobierno de los Estados Unidos sobre el Software y la documentación adjunta, en aquellos casos en que el Software se haya adquirido por o en nombre de dicho Gobierno, o bien por uno de sus contratistas o subcontratistas principales (a cualquier escala), quedarán limitados a lo establecido en el presente Contrato, conforme a lo estipulado en el reglamento 48 CFR del 227.7201 al 227.7202-4 (para adquisiciones del Departamento de Defensa) y en el reglamento 48 CFR 2.101 y 12.212 (para adquisiciones que no sean hechas por el Departamento de Defensa).
13. Legislación aplicable.
Toda acción judicial que pudiera emprenderse en relación con este Contrato se someterá a la jurisdicción del estado de California, así como a la legislación federal aplicable de los Estados Unidos. Por consiguiente, queda excluida toda posibilidad de interpretación en virtud de cualquier otra ley.
14. Independencia de las cláusulas contractuales.
La imposibilidad de cumplir alguna de las cláusulas del presente Contrato no afectará al resto del Contrato, que seguirá siendo válido a menos que la omisión de dichas cláusulas pudiera perjudicar los propósitos de las partes, en cuyo caso se considerará rescindido de forma inmediata.
15. Totalidad del contrato.
A todos los efectos el presente Contrato se considerará como el contrato único establecido entre el licenciatario y Sun en relación con el objeto descrito. Por consiguiente, el presente Contrato invalida todo contacto, propuesta, manifestación o garantía que se haya efectuado entre las partes, anterior o actual, oral o escrito, y prevalecerá en todo momento sobre los términos adicionales o contradictorios de cualquier texto, acuerdo, aceptación o contacto relativos al objeto del Contrato y que pudieran llevar a cabo las partes durante el periodo de vigencia de éste. 1. Definitionen.
(a) "Leistungsanspruch" bezeichnet die Gesamtheit aller relevanten und von Sun autorisierten Dokumente, aus denen Ihre Verpflichtung zur Zahlung der gegebenenfalls anfallenden Gebühren für die Lizenz, die zugehörigen Dienstleistungen und der Umfang des im Rahmen dieses Vertrags eingeräumten Nutzungsrechts an der Software hervorgehen.
(b) "Lizenzierte Einheit" bezeichnet die Maßeinheit, nach der die Nutzung von Software und/oder Dienstleistungen durch Sie gemäß den Angaben in Ihrem Leistungsanspruch lizenziert ist.
(c) "Zulässiger Nutzungszweck" bezeichnet die durch diesen Vertrag autorisierten, lizenzierten Nutzungszwecke der Software gemäß den Angaben in Ihrem Leistungsanspruch. Der zulässige Nutzungszweck für gebündelte Sun-Software, der in Ihrem Leistungsanspruch nicht angegeben ist, besteht in der Evaluierung der Software gemäß Abschnitt 3.
(d) "Dienstleistungen" bezeichnet die Dienstleistungen, die von Sun oder einem Beauftragten von Sun gemäß den Angaben in Ihrem Leistungsanspruch und den ausführlichen Erläuterungen in der geltenden Dienstleistungsauflistung unter www.sun.com/service/servicelist erbracht werden.
(e) "Software" bezeichnet die in Ihrem Leistungsanspruch beschriebene Sun-Software. Außerdem ist bestimmte Software ggf. zu Evaluierungszwecken nach Abschnitt 3 beigefügt.
(f) "Sie" und "Ihre" bezeichnen die in Ihrem Leistungsanspruch genannte natürliche oder juristische Person bzw. für Evaluierungszwecke die juristische Person, die die Evaluierung vornimmt.
2. Lizenzgewährung und Leistungsanspruch.
Vorbehaltlich der Bestimmungen Ihres Leistungsanspruchs gewährt Ihnen Sun eine nicht ausschließliche, nicht übertragbare und eingeschränkte Lizenz zur Nutzung der Software für den zulässigen Nutzungszweck während der Lizenzdauer. In Ihrem Leistungsanspruch sind (a) die lizenzierte Software, (b) der zulässige Nutzungszweck, (c) die Lizenzdauer und (d) die lizenzierten Einheiten festgelegt.
Wenn Ihr Leistungsanspruch darüber hinaus Dienstleistungen einschließt, werden darin außerdem (e) die Dienstleistungen und (f) die Dienstleistungsdauer festgelegt.
Wenn Ihre Rechte an der Software oder den Dienstleistungen zeitlich begrenzt sind und das Datum, an dem diese Rechte wirksam werden, nicht mit dem Kaufdatum identisch ist, geht das Anfangsdatum aus Ihrem Leistungsanspruch hervor.
Welche Form der Leistungsanspruch hat, hängt davon ab, wie Sie Software und Dienstleistungen erworben haben. So finden Sie den Leistungsanspruch unter Umständen auf der Quittung, der Rechnung oder dem Vertrag mit Sun bzw. einem autorisierten Sun-Wiederverkäufer. Wenn Sie die Software herunterladen, wird der Leistungsanspruch möglicherweise in elektronischer Form ausgestellt.
3. Zulässiger Nutzungszweck.
Gemäß den Angaben in Ihrem Leistungsanspruch gelten für die Nutzung der Software einer oder mehrere der folgenden zulässigen Nutzungszwecke. Sofern nicht im Leistungsanspruch ausdrücklich erlaubt, dürfen Sie die Software nicht für andere als die zulässigen Nutzungszwecke einsetzen. Wenn Sie keinen Leistungsanspruch haben oder Ihr Leistungsanspruch zusätzlich mitgelieferte Software nicht abdeckt, darf diese Software lediglich zu Evaluierungszwecken verwendet werden.
(a) Evaluierung. Sie dürfen die Software intern für einen Zeitraum von 90 Tagen ab der ersten Nutzung evaluieren.
(b) Forschung und Schulung. Sie dürfen die Software intern für Entwurfs-, Entwicklungs- und Testzwecke sowie für Schulungen bzgl. dieser Nutzungszwecke einsetzen.
(c) Individuelle Nutzung. Sie dürfen die Software intern für persönliche Zwecke einsetzen.
(d) Kommerzielle Nutzung. Sie dürfen die Software intern für Ihre eigenen kommerziellen Zwecke einsetzen.
(e) Nutzung durch Dienstanbieter. Sie dürfen die Funktionen der Software Ihren Endbenutzern, nicht jedoch verbundenen Unternehmen oder Regierungsbehörden, in einem Extranet bereitstellen und zugänglich machen. Es ist jedoch nicht gestattet, die Software als solche direkt oder über Outsourcing-Dienste bereitzustellen.
4. Lizenzierte Einheiten.
Der zulässige Nutzungszweck ist beschränkt auf die in Ihrem Leistungsanspruch genannte Anzahl an lizenzierten Einheiten. Wenn Sie weitere lizenzierte Einheiten benötigen, müssen Sie zusätzliche Leistungsansprüche erwerben.
5. Beschränkungen.
(a) Die Ihnen im Rahmen dieses Vertrags überlassenen Kopien der Software werden von Sun in Lizenz vergeben, nicht verkauft. Sun behält sich alle nicht ausdrücklich eingeräumten Rechte vor. (b) Sie dürfen eine einzige Kopie der Software für Archivierungszwecke erstellen, die Software jedoch ansonsten in keiner Weise kopieren, modifizieren oder vertreiben. Wenn die Sun-Dokumentation zu der Software jedoch bestimmte Teile der Software angibt, wie z. B. Header-Dateien, Klassenbibliotheken, Referenzquellcode und/oder wiederveräußerbare Dateien, die anders gehandhabt werden dürfen, dürfen Sie diese Teile der Software nur wie in der Sun-Dokumentation beschrieben handhaben. (c) Sie dürfen die Software nicht vermieten, verleasen, verleihen oder beleihen. (d) Die Software darf nicht dekompiliert oder durch Reverse-Engineering rekonstruiert werden, es sei denn, die Durchsetzung dieser Beschränkungen ist durch geltendes Recht verboten. (e) Die Bedingungen und Bestimmungen dieses Vertrags gelten auch für alle von Sun nach eigenem Ermessen zur Verfügung gestellten Software-Aktualisierungen, die die Original-Software ersetzen und/oder ergänzen, es sei denn, solche Aktualisierungen enthalten eine separate Lizenz. (f) Es ist nicht gestattet, die Ergebnisse von Benchmark- oder Vergleichstests bzgl. der Software ohne vorherige schriftliche Genehmigung von Sun zu veröffentlichen oder Dritten zugänglich zu machen. (g) Bei der Software handelt es sich um vertrauliches und urheberrechtlich geschütztes Material. (h) Wenn die Software in gebündelter oder eingebetteter Form andere Software enthält, die Funktionen der Software bereitstellt, dürfen Sie, sofern nicht anders angegeben, diese andere Software nicht als eigenständiges Produkt oder (ganz oder teilweise) zusammen mit anderen Programmen einsetzen. (i) Die Software kann Programme enthalten, die eine automatisierte Erfassung von Systemdaten und/oder automatisierte Softwareaktualisierungsdienste durchführen. Mit solchen Programmen erfasste Systemdaten dürfen von Sun, seinen Unterlieferanten und seinen Dienstleistungspartnern zum Zweck der Erbringung von Fernsystemdienstleistungen an Sie und/oder der Verbesserung der Software und Systeme von Sun verwendet werden. (j) Die Software wurde nicht zur Verwendung beim Entwurf, der Konstruktion, dem Betrieb bzw. der Wartung einer Kernkraftanlage konzipiert, lizenziert oder entwickelt. Sun und seine Lizenzgeber übernehmen keinerlei ausdrückliche oder stillschweigende Gewährleistung der Eignung für solche Zwecke. (k) Im Rahmen dieses Vertrags werden keinerlei Rechte, Eigentumsrechte oder Anrechte auf irgendwelche Marken, Dienstleistungsmarken, Logos oder geschäftliche Bezeichnungen von Sun oder seinen Lizenzgebern gewährt.
6. Java-Kompatibilität und Open Source.
Software kann Java-Technologie enthalten. Sie dürfen keine zusätzlichen Klassen erstellen oder Modifikationen an der Java-Technologie vornehmen, es sei denn, Sie beachten die Kompatibilitätsvoraussetzungen, die im Rahmen eines separaten Vertrags unter www.java.net erhältlich sind.
Sun unterstützt und profitiert von der globalen Community der Open Source-Entwickler und dankt der Community für ihre wichtigen Beiträge sowie für die auf offenen Standards basierte Technologie, die Sun für viele seiner Produkte übernommen hat.
Beachten Sie bitte, dass Teile der Software Hinweise und Open Source-Lizenzen von solchen Communities und Dritten enthalten können, die die Nutzung dieser Teile regeln, und dass die hierin gewährten Lizenzen keinen Einfluss auf die Rechte und Pflichten haben, die Ihnen unter solchen Open Source-Lizenzen zukommen. Die Bestimmungen bezüglich des Gewährleistungsausschlusses und Haftungsbegrenzung in diesem Vertrag gelten jedoch für die gesamte Software in dieser Distribution.
7. Dauer und Kündigung.
Die Lizenz- und Dienstleistungsdauer sind in Ihrem Leistungsanspruch aufgeführt. Ihre Rechte im Rahmen dieses Vertrags enden sofort ohne Benachrichtigung seitens Sun, wenn Sie einen wesentlichen Vertragsbruch begehen oder Maßnahmen ergreifen, die geeignet sind, die Rechte von Sun und/oder seinen Lizenzgebern an der Software zu beeinträchtigen. Sun kann diesen Vertrag kündigen, wenn die Software zum Gegenstand eines Anspruchs wegen Verletzung gewerblicher Schutzrechte oder geistigen Eigentums oder widerrechtlicher Aneignung von Geschäftsgeheimnissen wird oder ein solcher Anspruch nach Ermessen von Sun zu erwarten ist. Bei Kündigung dürfen Sie die Software nicht weiter verwenden und müssen sie vernichten. Sie sind verpflichtet, dies gegenüber Sun schriftlich zu bestätigen. Die Abschnitte 1, 5, 6, 7 und 9-15 bleiben auch nach Kündigung des Vertrags in Kraft.
8. Beschränkte Gewährleistung.
Sun gewährleistet, dass der Datenträger, auf dem die Software ggf. bereitgestellt wird, für einen Zeitraum von 90 Tagen ab Kaufdatum (nachzuweisen durch eine Kopie der Quittung) bei normalem Gebrauch keine Materialfehler und Herstellungsmängel aufweist. Mit Ausnahme des Vorangegangenen wird die Software "wie besehen" ohne Gewährleistung bereitgestellt. Ihr ausschließliches Rechtsmittel und die einzige Verpflichtung von Sun im Rahmen dieser beschränkten Gewährleistung besteht darin, dass Sun nach eigenem Ermessen entweder die Software-Datenträger ersetzt oder die für die Software bezahlte Gebühr zurückerstattet. In einigen Ländern ist eine Einschränkung der gesetzlichen Gewährleistung nicht zulässig, so dass die obigen Ausführungen in Ihrem Fall unter Umständen nicht gelten. Aufgrund dieser beschränkten Gewährleistung stehen Ihnen bestimmte gesetzliche Rechte zu. Darüber hinaus stehen Ihnen unter Umständen weitergehende Rechte zu, die von Land zu Land variieren.
9. Gewährleistungsausschluss.
WENN IN DIESEM VERTRAG NICHT ANDERS ANGEGEBEN, WERDEN ALLE AUSDRÜCKLICHEN ODER STILLSCHWEIGENDEN BEDINGUNGEN, ZUSICHERUNGEN, GEWÄHRLEISTUNGEN UND GARANTIEN, EINSCHLIESSLICH JEGLICHER GEWÄHRLEISTUNG DER MARKTGÄNGIGKEIT, EIGNUNG FÜR EINEN BESTIMMTEN ZWECK ODER DER ABWESENHEIT VON RECHTSMÄNGELN, ABGELEHNT, ES SEI DENN, EIN DERARTIGER GEWÄHRLEISTUNGSAUSSCHLUSS WIRD RECHTLICH ALS UNGÜLTIG ANGESEHEN.
10. Haftungsbegrenzung.
SOWEIT RECHTLICH ZULÄSSIG, SCHLIESSEN SUN BZW. SEINE LIZENZGEBER JEGLICHE HAFTUNG FÜR EINKOMMENS-, GEWINN- ODER DATENVERLUSTE ODER FÜR SONDER-, INDIREKTE, FOLGE-, ODER NEBENSCHÄDEN AUS, UNABHÄNGIG VON DER URSACHE UND DER HAFTUNGSTHEORIE, DIE SICH AUS DER VERWENDUNG ODER IM ZUSAMMENHANG MIT DER VERWENDUNG BZW. DEM UNVERMÖGEN DER VERWENDUNG DER SOFTWARE ERGEBEN, SELBST WENN SUN VON EINER MÖGLICHKEIT DIESER SCHÄDEN UNTERRICHTET WURDE. In keinem Fall überschreitet die Haftung von Sun Ihnen gegenüber, ob durch Vertrag oder eine unerlaubte Handlung (einschließlich Fahrlässigkeit) oder auf sonstige Weise begründet, den Betrag, den Sie im Rahmen dieses Vertrags für die Software bezahlt haben. Die vorangegangenen Beschränkungen gelten auch, wenn die oben genannte Gewährleistungsregelung ihren wesentlichen Zweck verfehlt. In einigen Ländern ist der Ausschluss von Folge- oder Nebenschäden nicht zulässig, so dass in Ihrem Fall unter Umständen nicht alle der obigen Ausführungen gelten.
11. Ausfuhrbestimmungen.
Alle Software, Dokumente, technischen Daten und anderen Materialien, die im Rahmen dieses Vertrags ausgeliefert werden, unterliegen den Ausfuhrüberwachungsgesetzen der USA und können Ausfuhr- oder Einfuhrbestimmungen in anderen Ländern unterliegen. Sie erklären sich bereit, alle diese Gesetze und Vorschriften streng zu befolgen, und erkennen an, dass Sie dafür verantwortlich sind, Lizenzen zur Ausfuhr, Neuausfuhr oder Einfuhr einzuholen, wenn dies nach der Übergabe an Sie erforderlich ist.
12. Eingeschränkte Rechte der US-Regierung.
Wenn die Software durch oder im Namen der US-Regierung oder durch einen Hauptlieferanten oder Unterlieferanten der US-Regierung (gleich auf welcher Ebene) erworben wird, verfügt die Regierung nur über die Rechte an der Software, wie sie in diesem Vertrag aufgeführt sind, d. h. gemäß 48 CFR 227.7201 bis 227.7202-4 (beieinem Erwerb durch das DOD [Verteidigungsministerium]) und 48 CFR 2.101 und 12.212 (bei einem Erwerb durch andere Behörden).
13. Geltendes Recht.
Alle Klagen in Bezug auf diesen Vertrag unterliegen dem kalifornischen Recht und dem maßgebenden US-Bundesrecht. Es gelten keine Rechtswahlregeln irgendeiner Rechtsordnung.
14. Salvatorische Klausel.
Wenn eine Bestimmung dieses Vertrags nicht durchgesetzt werden kann, bleibt dieser Vertrag unter Ausschluss der nicht durchsetzbaren Bestimmung in Kraft, es sei denn, dieser Ausschluss würde den vereinbarten Willen der Parteien vereiteln, in welchem Fall dieser Vertrag sofort beendet sein soll.
15. Integration.
Dieser Vertrag, einschließlich aller Bestimmungen in Ihrem Leistungsanspruch, stellt in bezug auf seinen Vertragsgegenstand den gesamten Vertrag zwischen Ihnen und Sun dar. Er hebt alle vorherigen oder gleichzeitigen mündlichen oder schriftlichen Mitteilungen, Vorschläge, Zusicherungen, Gewährleistungen und Garantien auf und ist bei zuwiderlaufenden oder zusätzlichen Bestimmungen in Preisangaben, Bestellungen, Bestätigungen oder sonstigen Kommunikationen zwischen den Parteien in bezug auf den Vertragsgegenstand während des Vertragszeitraums ausschlaggebend. Eine Änderung dieses Vertrags ist nicht bindend, es sein denn, sie erfolgt schriftlich und wird von einem befugten Vertreter beider Parteien unterzeichnet.
